Welcome to SkipHi. These Terms and Conditions (“Terms”) govern your access to and use of the SkipHi mobile application and all related services, features, content, and functionality (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Please read these Terms carefully. They contain important information about your legal rights, remedies, and obligations. These Terms include a limitation of liability and a disclaimer of warranties.

1. Eligibility

You must be at least 18 years of age to create an account or use the Service. By registering, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into a binding agreement, and that your use of the Service does not violate any applicable law or regulation. We reserve the right to request proof of age at any time and to terminate accounts that do not meet this requirement.

You must access the Service from a legitimate, unmodified device. We employ device integrity verification measures to ensure the security and trustworthiness of our platform. Devices that have been modified in ways that compromise their security (such as rooted or jailbroken devices) may be restricted from accessing the Service. This requirement exists to protect all users from fraud, abuse, and security vulnerabilities.

2. Account Registration and Security

To use the Service, you must create an account and provide accurate, complete, and current information as prompted by the registration process. You agree to update your information promptly if it changes. Providing false, misleading, or outdated information is a violation of these Terms and may result in the suspension or termination of your account.

You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to maintain the security of your account.

We may require you to verify your identity as part of the registration process or at any time during your use of the Service. Identity verification may include providing a photograph for facial comparison against your profile images. Failure to complete required verification may result in limited access to certain features or suspension of your account.

3. AI-Powered Features

SkipHi offers AI-powered features that create personalized digital representations based on information you provide, including your personality assessment responses and, if you opt in, your voice recordings. By using these features, you acknowledge and agree to the following:

Consent to AI Processing: By providing voice recordings or completing personality assessments, you grant SkipHi the right to process this data using artificial intelligence systems to create and operate AI-generated representations associated with your profile. You consent to the storage, processing, and use of your voice data and personality data for these purposes.

Nature of AI Content: AI-generated content, including voice output and text responses, is produced by automated systems. While these systems are designed to reflect your personality and communication style, AI-generated content does not constitute your actual speech or opinions. You acknowledge that AI representations are approximations and may not always accurately represent your views, intentions, or personality.

No Guarantee of Accuracy: We do not guarantee the accuracy, completeness, or appropriateness of any AI-generated content. AI systems may produce responses that are unexpected, inaccurate, or inconsistent with your actual personality. You understand and accept this inherent limitation of AI technology.

Usage Limits: AI-powered features are subject to usage limits that vary based on your subscription tier. Free users have access to a limited number of AI interactions within specified time periods. Paid subscribers receive expanded access with higher usage allowances. We reserve the right to modify usage limits at any time with reasonable notice.

Withdrawal of Consent: You may withdraw your consent for AI processing at any time by deleting your voice data and AI profile through the app settings or by contacting us. Withdrawal of consent will result in the deactivation of AI features associated with your account.

4. User Conduct

You agree to use the Service in a respectful, lawful, and responsible manner. You must not:

Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation. Harass, threaten, intimidate, stalk, or abuse any other user. Post, upload, or transmit any content that is defamatory, obscene, pornographic, violent, discriminatory, or otherwise objectionable. Create a false or misleading profile, impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Use the Service for commercial purposes, including advertising, solicitation, or promotion of goods or services, without our express written consent. Attempt to gain unauthorized access to other users' accounts, our systems, or our networks. Use automated means, including bots, scrapers, or scripts, to access or interact with the Service. Interfere with or disrupt the integrity or performance of the Service or the data contained therein.

Transmit any viruses, malware, or other harmful code. Collect or harvest personal information of other users without their consent. Use the Service to send unsolicited messages or spam. Engage in any behavior that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

5. Content Standards and Moderation

All content you upload, post, or transmit through the Service, including photographs, text, and audio recordings, must comply with our content standards. We employ automated content moderation systems to review uploaded media for compliance with these standards. Content that violates our guidelines will be flagged and may be removed, and your account may be subject to penalties including suspension or termination.

Prohibited content includes, but is not limited to: sexually explicit or pornographic material, images depicting violence or graphic content, content that promotes hatred or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic, content that infringes on the intellectual property rights of others, and any content that violates applicable laws.

You retain ownership of the content you submit to the Service. However, by uploading or posting content, you grant SkipHi a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, distribute, display, and perform that content in connection with operating and improving the Service. This license terminates when you delete your content or your account, except where your content has been shared with other users or is retained for legal or security purposes.

6. Subscriptions and Payments

SkipHi offers both free and premium subscription tiers. The free tier provides access to core features with certain usage limitations. Premium subscriptions unlock additional features and expanded usage allowances for AI-powered functionality, messaging, and discovery.

Billing: Premium subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select) through the app store associated with your device. By subscribing, you authorize recurring charges to your selected payment method until you cancel your subscription.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. The renewal charge will be applied to your payment method within 24 hours before the end of the current period at the price of your current subscription plan.

Cancellation:You may cancel your subscription at any time through your device's app store settings. Cancellation takes effect at the end of the current billing period, and you will continue to have access to premium features until that date. We do not provide refunds for any unused portion of a subscription period, except where required by applicable law.

Price Changes: We reserve the right to change subscription prices at any time. If we change the price of your subscription, we will provide you with reasonable advance notice. If you do not agree with the new price, you may cancel your subscription before the new price takes effect.

Free Trials: We may offer free trial periods for premium features. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription, and you will be charged the applicable subscription fee.

7. Social Media Integration

The Service may allow you to link your account with third-party social media platforms or import content from such platforms. By choosing to link your account or import content, you authorize us to access and collect the information and content you make available through those platforms, in accordance with the terms and privacy policies of those platforms.

You are solely responsible for your interactions with third-party platforms, and SkipHi is not responsible for the practices, content, or privacy policies of those platforms. Imported content is subject to the same content standards and moderation as content you create directly on SkipHi.

8. Intellectual Property

The Service and all of its contents, features, and functionality — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, AI models, and the design, selection, and arrangement thereof — are the exclusive property of SkipHi or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from the Service, except as generally and ordinarily permitted through the Service according to these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SKIPHI DOES NOT GUARANTEE THE CONDUCT, COMPATIBILITY, OR IDENTITY OF ANY USER. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. WE STRONGLY RECOMMEND THAT YOU EXERCISE CAUTION AND USE YOUR BEST JUDGMENT WHEN COMMUNICATING WITH OR MEETING OTHER USERS, BOTH ONLINE AND IN PERSON.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKIPHI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless SkipHi, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to: your use of the Service, your violation of these Terms, your violation of any rights of any third party, or any content you submit, post, or transmit through the Service.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe that you have violated these Terms, created risk or possible legal exposure for us, or when provision of the Service to you is no longer commercially viable.

You may terminate your account at any time by deleting it through the app settings. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SkipHi is incorporated, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration institution.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against SkipHi.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms within the app or on our website and updating the “Last updated” date. We may also provide additional notice through push notifications or in-app messages. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

15. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and SkipHi regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: The failure of SkipHi to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
